Please read carefully. These Terms limit our liability (Section 11) and confirm that nothing on this website is investment advice or an offer of securities. If you are considering the M5L sale, read the Risk Disclosure first.

1.About these Terms

These Terms of Use (the “Terms”) govern your access to and use of the website at m5dex.com, including its pages, content, documents and downloadable materials (together, the “website”).

In these Terms, “M5DEX”, “we”, “us” and “our” refer to the operator of the M5DEX website. “You” means any person who accesses or uses the website.

By accessing or using the website you agree to these Terms, to our Privacy Policy and to the Risk Disclosure. If you do not agree, you must not use the website.

2.Information only, not advice

Everything on the website — including the M5 Legacio whitepaper, token information, market data, roadmap and documentation — is provided for general information only.

It is not investment, financial, trading, legal, tax or accounting advice, and it is not a recommendation to buy, sell or hold any digital asset.
It is not an offer to sell, or a solicitation of an offer to buy, any security, investment or financial instrument in any jurisdiction, and no prospectus or offering document has been registered with any regulator.
We do not act as your adviser or fiduciary, and nothing on the website creates such a relationship.

You should obtain independent professional advice before making any decision involving digital assets.

3.Eligibility and restricted jurisdictions

To use the website you must:

be at least 18 years old, or the age of majority where you live if that is higher;
have the legal capacity to agree to these Terms; and
not be the subject of economic sanctions, or located in, organised in or ordinarily resident in a country or region subject to comprehensive sanctions.

Access to the website, and participation in any token sale or ecosystem product, may be restricted or prohibited under the laws of some jurisdictions. You are solely responsible for determining whether your use is lawful where you are, and for complying with all laws, regulations and tax obligations that apply to you. We may restrict access to the website or any part of it, in any location, at any time.

4.M5 Legacio (M5L) and the token sale

M5 Legacio (M5L) is a fixed-supply utility token on BNB Smart Chain (chain ID 56) with the contract address 0x8D668F33621b5c664F29de0A7F5336947fCba98e. It is intended to function within the M5DEX ecosystem. M5L does not represent equity, debt, a share of profits or revenue, a claim on any asset, or any right to dividends or other distributions, and holding it gives you no ownership or governance rights in any entity.

The smart contracts govern

The M5L private and public sales are conducted through smart contracts deployed on BNB Smart Chain. The sale price, round allocations, round windows, minimum purchase and vesting schedules are set by those contracts. Where anything on the website — including the whitepaper — differs from the deployed contracts, the contracts prevail. The sale contracts also include operational controls, which are described in the Risk Disclosure.

This website does not take payments

The website does not accept payments, hold funds, create accounts or execute transactions. Participation in a sale happens on-chain, through your own wallet, via the official sale portal at privatesale.m5dex.com, which may be subject to its own terms. Blockchain transactions are final: once confirmed, a purchase cannot be reversed, cancelled or refunded by us.

Verify before you pay. The on-chain sale price is $0.10 per M5L in both rounds. Confirm the contract address against the contract reference and read the price directly from the sale contract before sending any funds. Anyone quoting a different price is not acting for M5DEX.

Forward-looking statements

Statements about planned features, utility, products, partnerships or timelines — including anything marked “planned” on the Roadmap — reflect current intentions only. They may change, be delayed or not happen, and they are not promises.

5.Ecosystem products and third-party services

The website links to M5DEX ecosystem products that run on separate domains, including M5Wallet with spot trading and cross-chain swap, futures, M5 Signals, RWAs and the private sale portal. Those products may be operated under their own terms of service and privacy policies, which govern your use of them. These Terms apply only to this website.

The website also links to or embeds services operated by independent third parties — for example block explorers, Telegram, X and YouTube. We do not control those services, are not responsible for their content, availability or practices, and a link is not an endorsement. Your use of them is at your own risk and subject to their terms.

6.Market data

Prices and market statistics shown on the website are sourced from third-party data providers and may be delayed, incomplete or inaccurate. Where live data cannot be retrieved, the website may display fallback figures. Market data is shown for general context only and must not be relied on for trading or any other financial decision.

7.Acceptable use

You agree not to:

use the website for any unlawful, fraudulent or deceptive purpose;
impersonate M5DEX or any of its personnel, or suggest that you are affiliated with or endorsed by M5DEX when you are not;
copy or reproduce M5DEX branding, contract addresses or documents in a way designed to mislead others — for example on a lookalike website or channel;
attempt to gain unauthorised access to the website or its infrastructure, or probe, scan or test its vulnerabilities without our written permission;
introduce malware, or interfere with or disrupt the website or other users’ access to it; or
scrape or harvest the website in a manner that places an unreasonable load on it.

If you believe you have found a security vulnerability, please report it privately to hello@m5dex.com rather than disclosing it publicly.

8.Wallets, keys and security

Self-custody means you alone control your wallet and its private keys or recovery phrase. We cannot access, freeze, recover or reverse anything in your wallet, and we cannot restore access if your keys are lost or stolen.

We will never ask for your recovery phrase. No one acting for M5DEX will ever ask for your seed phrase or private keys, ask you to send funds to “verify” a wallet, or contact you first offering a special price or allocation. Treat any such request as fraud.

9.Intellectual property

The website and its content — including the M5DEX and M5 Legacio names, logos, marks, text, graphics, designs and documents — are owned by or licensed to M5DEX and are protected by intellectual property laws. All rights not expressly granted are reserved.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view and use the website for your own personal, non-commercial purposes. You may share the M5 Legacio whitepaper and link to pages of the website, provided you do so unmodified, with attribution, and not in a way that suggests endorsement or affiliation.

10.Disclaimers

The website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or availability.

We do not warrant that the website will be uninterrupted, secure or error-free, that content is current, or that any smart contract, blockchain network, wallet or third-party service will operate as expected.

11.Limitation of liability

To the fullest extent permitted by law, M5DEX will not be liable for:

any indirect, incidental, special, consequential, exemplary or punitive loss or damage;
any loss of profits, revenue, business, opportunity, goodwill or data;
any loss of or reduction in the value of digital assets, including losses caused by market movements, smart contract defects, blockchain network failures, forks, or the loss or compromise of your keys;
any act or omission of a third-party service, website or data provider; or
your reliance on any information on the website.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence.

12.Indemnity

To the extent permitted by law, you agree to indemnify M5DEX against claims, losses and reasonable costs (including legal fees) arising from your breach of these Terms, your misuse of the website, or your violation of any law or the rights of any third party.

13.Changes to the website and these Terms

We may change, suspend or withdraw any part of the website at any time. We may also update these Terms; the “Last updated” date at the top of this page shows when they last changed. Changes take effect when published. Your continued use of the website after an update means you accept the revised Terms.

14.Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or your use of the website, are governed by the laws of the jurisdiction in which the operator of the M5DEX website is established, without regard to its conflict-of-laws rules.

Before starting any formal proceedings, you agree to contact us at hello@m5dex.com and to try in good faith to resolve the dispute informally for at least 30 days. Nothing in this section removes any mandatory consumer rights you have under the laws of the country where you live.

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of it.
